  44. Part D — Specific approval of clauses (Arts. 1341 and 1342 Italian Civil Code)

These terms govern the use of Gnam. They are divided into four parts:

  • Part A: rules that apply to everyone;
  • Part B: rules for customers, that is, people who use Gnam to discover venues, read menus, book and order;
  • Part C: rules for restaurateurs, that is, people who use Gnam for their business;
  • Part D: the clauses restaurateurs specifically approve.

We explain how we process personal data in the privacy policy and the cookie policy. For the data of venues’ customers and staff, the data processing agreement applies.

This is a translation. If it differs from the Italian version, the Italian version prevails.

Part A — Rules for everyone

Articles 1 to 13 apply to customers and restaurateurs.

1. Who we are

Gnam is a service of CodeLab srls, Corso Giuseppe Garibaldi 22, 00034 Colleferro (RM), Italy, VAT number 17925991006, email info@codelab.email (“we”).

2. What Gnam is

Gnam is a platform for the restaurant world. It offers:

  • to customers: venues’ digital menus, a map to find them, an account with preferences, favourites and lists, an assistant based on artificial intelligence, and bookings, orders and payments at venues that turn them on;
  • to restaurateurs: a back office for menus, floor, kitchen, bookings, events, staff and payments, with artificial intelligence tools and connections to third-party services.

3. Words we use

  • Customer: a person who uses Gnam for personal purposes, not for a business activity. In law, a consumer.
  • Restaurateur: whoever uses Gnam for their business (restaurant, bar, pizzeria and the like). In law, a professional.
  • Venue: the restaurateur’s establishment listed on Gnam.
  • Staff: the people the restaurateur authorises to use the back office.
  • Venue content: menus, dishes, prices, ingredients, allergens, photos, opening hours and any other information the venue publishes on Gnam.
  • Service: everything Gnam offers, as described in Art. 2.

4. Acceptance and changes to the terms

You accept these terms when you create an account or, for restaurateurs, when you activate the service.

We may change them when the service or the law changes. If the change is significant, we let you know by email or on the site at least 30 days before it applies. If you disagree, you can close your account before that date; restaurateurs can also withdraw from the subscription at no cost. Changes required by law or by an authority may apply sooner, and in that case we tell you.

5. Venue content

Venue content is written and updated by the venue. We host and display it, but we are not its author and we do not check it. The venue is responsible for its accuracy: prices, dish availability, opening hours, descriptions, photos and information about ingredients and allergens.

Some dish photos may be generated with artificial intelligence: in that case we label them as such.

If you see wrong or inappropriate content, write to us at info@codelab.email.

6. Allergens and food information

By law (EU Regulation 1169/2011), information on allergens and ingredients is the responsibility of whoever prepares and sells the food, that is, the venue.

Gnam shows the information the venue declares. Menu filters and the “Safe for me” badge are based only on those declarations and on the preferences you set. We cannot guarantee that they are complete or correct, nor that a dish is free of traces or cross-contamination, unless the venue declares it.

Before ordering, always check with the venue’s staff, especially if you have an allergy or intolerance. In case of an allergic reaction, call 112 immediately.

7. AI assistant

The assistant answers automatically using an artificial intelligence model and the venues’ public data. Keep in mind that:

  • it can be wrong, incomplete or out of date;
  • its answers are not medical, nutritional or legal advice;
  • for allergies and intolerances, Art. 6 always applies;
  • we block prohibited content and limit the number of messages, to prevent abuse;
  • you must not write other people’s personal data to it.

We explain how we process assistant data in the privacy policy.

8. Intellectual property

The software, the Gnam brand, the design and the texts of the service belong to us or our licensors. We give you the right to use them only to use the service, under these terms.

Venue content belongs to the venues (or to whoever licensed it to them).

Content you create (for example the name and description of a list) remains yours. You allow us to store and display it as needed for the service, for example when you share a list.

9. What you may not do

By using Gnam you agree not to:

  • use the service for illegal purposes or against these terms;
  • make fake bookings, or bookings in other people’s names without their permission;
  • get around limits, security measures or access controls;
  • extract data automatically (scraping) beyond normal use, except where the law allows it;
  • upload viruses or harmful code, or overload the service;
  • publish in lists or content any text that is offensive, discriminatory or infringes others’ rights;
  • push the assistant to produce illegal or harmful content.

10. Availability and changes to the service

We do our best to keep Gnam always working, but we cannot guarantee a service free of interruptions or errors. Maintenance may be needed, which we try to schedule at off-peak times.

We may improve, change or remove features. If we remove an important feature of a paid plan, we notify restaurateurs at least 30 days in advance and, if they wish, they can withdraw at no cost.

11. Privacy

The privacy policy and the cookie policy are part of these terms. For restaurateurs, the data processing agreement is also part of them.

12. Governing law

These terms are governed by Italian law. For the competent court, see Art. 20 (customers) and Art. 39 (restaurateurs).

13. Communications

We write to you at your account’s email or through notices on the site. You can write to us at info@codelab.email.

Part B — Customers

Articles 14 to 20 apply to customers.

14. Account

  • To create an account you must be at least 14 years old.
  • The data you enter must be true and up to date. The account is personal.
  • Keep your password secret. If you think someone has used it, change it and write to us.
  • Some features, such as the assistant, require a verified email and a complete profile.

15. The service is free

For customers, Gnam is free. If in the future we introduce paid features, we will tell you in advance and you will activate them only if you explicitly choose to.

16. Bookings, orders and payments at venues

When you book, order or pay through Gnam, the contract for the food and service is between you and the venue. We provide the technical tool, but we are not a party to that contract.

  • The venue’s conditions apply, for example on cancellation, deposits and no-shows.
  • Deposits and advance payments are handled by Stripe. Refunds and disputes follow the venue’s rules and the law.
  • Some events require full advance payment. After paying you can no longer change or cancel the booking yourself: to do so you must contact the venue.
  • For complaints about the food or the service, contact the venue. If you write to us, we let the venue know.

17. Shared lists

You can make a list public and share it with a link. Anyone with the link sees the list’s name and description, the venues and dishes it contains and your name. You can make it private again or change the link at any time: the old link stops working.

Do not put other people’s personal data in lists.

18. Closing your account

You can delete your account whenever you want from the Account section. You have 30 days to change your mind, then we anonymise your data as explained in the privacy policy.

We may suspend or close an account that seriously breaches these terms or the law. We warn you first and give you a chance to explain, except in urgent cases (for example a risk to security or to other users).

19. Liability

We are liable for damage caused by our wilful misconduct or gross negligence, and in all cases where the law does not allow liability to be limited.

We are not liable:

  • for venue content, or for venues’ food and service (see Arts. 5, 6 and 16);
  • for third-party services you open from Gnam (for example external maps or social networks).

Nothing in these terms limits the rights granted to you by the Italian Consumer Code (Legislative Decree 206/2005), including those on digital content and services (Arts. 135-octies and following).

20. Disputes

For any problem, write to us first at info@codelab.email: we always look for a solution.

If you are a consumer, disputes fall under the court of the place where you reside or are domiciled in Italy (Art. 66-bis of the Consumer Code). You can also use the out-of-court dispute resolution procedures provided by law, for example mediation.

Part C — Restaurateurs

Articles 21 to 40 apply to restaurateurs. The consumer rules of the Consumer Code do not apply to them.

21. Who can subscribe

The service for restaurateurs is reserved for those acting for a business or professional activity. Whoever accepts these terms declares that they are an adult and have the power to bind the business. Billing data (company name, VAT number, tax code, registered office, recipient code or PEC) must be correct and up to date.

22. Account, venues and staff

  • You are responsible for your and your staff’s credentials, for the roles and permissions you assign and for the devices you enrol.
  • What your staff does in the back office is attributable to you.
  • As an employer, you assess your obligations towards your staff: for example the privacy notice and, where needed, the rules of Art. 4 of the Italian Workers’ Statute (Law 300/1970) on tools that may allow remote monitoring.

23. Plans and prices

Gnam offers a free plan (Free) and paid plans (currently MenuPro, RestaurantSuite and FullOS). The features of each plan are described on the plans page in the back office.

Prices are monthly and shown net of VAT, which is added at payment. The price in force when you activate or renew the plan applies.

24. Payment and automatic renewal

You pay by card through Stripe, in advance for each month. The subscription renews automatically every month until you cancel it. By activating a paid plan you authorise recurring charges. We do not see or store card data.

25. Invoicing and tax documents

For every payment we issue an electronic invoice through the Italian Exchange System (SDI), with the billing data you gave us. If that data is wrong or incomplete, you are responsible.

Gnam does not issue tax documents to your customers (receipts) on your behalf: your electronic cash register or your provider issues them. Gnam can connect to the cash register only as technical support; tax responsibility remains yours.

26. Failed payment

If a payment fails, Stripe retries the charge. You have a grace period (currently 7 days) to fix the payment method. If at the end of the period the payment has not succeeded, the account moves to the Free plan: paid features stop and venues beyond the Free plan’s limit are archived. Data is kept and becomes available again if you reactivate a paid plan.

27. Changing plan

You can change plan from the back office. Before you confirm, we show you the new price. If you move to a lower plan, the features and venues that do not fit the new plan are turned off or archived, without deleting data.

28. Term and cancellation

The subscription lasts one month and renews automatically (Art. 24).

  • You can cancel at any time from the back office. Cancellation takes effect at the end of the month already paid: until then the plan stays active. We do not refund partial periods, except where the law requires it.
  • We can withdraw with at least 30 days’ notice, refunding the part already paid and not used.

The Free plan has no end date: you can close your account whenever you want.

29. Price changes

We may change plan prices. We notify you by email at least 30 days in advance. The new price applies from the first renewal after that date. If you disagree, you can cancel before the renewal.

30. Venue content and allergens

  • You are solely responsible for your venue’s content: menus, prices, descriptions, opening hours, photos and above all information on ingredients and allergens, which you must provide under EU Regulation 1169/2011 and Italian rules.
  • The back office’s artificial intelligence tools (menu generation and reading, allergen recognition, dish photos, voice commands) produce suggestions: you must check them before publishing. We do not guarantee they are correct.
  • You must hold the rights to the texts, photos and brands you upload.
  • For the term of the contract, you grant us the free right to host, display and adapt this content (for example resizing photos or translating texts) to provide the service.
  • You hold us harmless from third-party claims caused by your content (see Art. 36).

31. Your customers’ and staff’s data

For the data of your customers (bookings, orders, bills) and of your staff within the venue, you are the controller; we are the processor on your behalf. The data processing agreement (Art. 28 GDPR) is part of these terms and is accepted together with them.

You must inform your customers and staff, have a valid legal basis and decide how long to keep the data.

32. Integrations and third-party services

You can connect Gnam to third-party services, for example Stripe (payments and terminals), TheFork (bookings), Deliverect (deliveries) or your electronic cash register. You turn them on and use them under the contracts you have with those providers. We are not liable for their outages, their conditions or the data they process on your behalf.

33. Your customers’ payments

Your customers’ payments (bills, deposits, prepayments) go through Stripe and reach your Stripe account, under Stripe’s conditions. Refunds, disputes and chargebacks towards the customer are your responsibility.

34. Service level

The service is offered without a guaranteed minimum level (no “SLA”). We do our best to reduce interruptions and, when we can, we announce scheduled maintenance in advance.

35. Limitation of liability

Except for wilful misconduct or gross negligence (Art. 1229 Italian Civil Code):

  • we are not liable for indirect damage, loss of profit, loss of customers or opportunities;
  • we are not liable for damage arising from venue content, including allergen information, or from third-party services (Art. 32);
  • we are not liable for interruptions due to causes beyond our control (for example network or supplier failures, cyber attacks, natural events);
  • in any case our total liability does not exceed what you paid us in the 12 months before the event that caused the damage.

36. Indemnity

You hold us harmless from damage, costs and third-party claims (including fines and reasonable legal fees) arising from: your content, breaches of these terms or of the law by you or your staff, and processing of your customers’ and staff’s data for which you are the controller.

37. Suspension and termination

We may suspend the service, with notice where possible, if there is a security risk, unlawful use or a failed payment (Art. 26).

The contract is terminated by operation of law (Art. 1456 Italian Civil Code) if you breach Articles 9, 21, 22, 30 or 31, after we notify you in writing that we intend to rely on this clause.

38. End of the relationship and data

When the relationship ends, the venue’s public pages are deactivated. Before the end you can ask us for a copy of your data in a commonly used format. After the end we delete or return the data within 90 days, as set out in the data processing agreement, except data we must keep by law (for example invoices).

39. Competent court

For any dispute with restaurateurs, the Court of Velletri has exclusive jurisdiction.

40. Assignment of the contract

We may assign the contract to a company that continues the service (for example if the business is transferred), letting you know. You may assign the contract only with our written consent.

Part D — Specific approval of clauses (Arts. 1341 and 1342 Italian Civil Code)

The restaurateur declares that they have read and specifically approve the following clauses:

  • Art. 4 (unilateral changes to the terms);
  • Art. 10 (changing and removing features, no guarantee of continuity);
  • Art. 22 (responsibility for staff, credentials and devices);
  • Art. 24 (automatic renewal and recurring charges);
  • Art. 26 (move to the Free plan and archiving for failed payment);
  • Art. 28 (term, cancellation at the end of the period, no refund of partial periods, our right to withdraw with notice);
  • Art. 29 (price changes);
  • Art. 30 (sole responsibility for content and allergens, licence on content);
  • Art. 32 (exclusion of liability for third-party services);
  • Art. 33 (refunds and disputes borne by the restaurateur);
  • Art. 34 (no guaranteed service levels);
  • Art. 35 (limitation of liability);
  • Art. 36 (indemnity);
  • Art. 37 (suspension of the service and express termination clause);
  • Art. 39 (exclusive jurisdiction);
  • Art. 40 (assignment of the contract).
